ROBIT OYJ:N TOIMITUSJOHTAJA VAIHTUU

Yhtiössä pitkän 11 vuoden menestyksekkään kasvukauden ajan toimitusjohtajana toiminut Jussi Rautiainen siirtyy yhtiön sisällä uusiin tehtäviin ja keskittyy jatkossa Robit Oyj:n rakenteellisen kasvun suunnitteluun ja toteuttamiseen.

Rautiainen kommentoi, että pitkän vahvan kasvun jälkeen hän halusi antaa aloitteen tehtäväkierrolle. Listautuneena yhtiönä Robit Oyj voi suunnata nyt merkittävään kasvuun myös rakenteellisesti.

Uutena toimitusjohtajana aloittaa 2.1.2016 alkaen yhtiön sisältä DI Mikko Mattila (38), joka on tehnyt pitkän 15 vuoden uran Robit Oyj:ssä. Hän on vastannut muun muassa Etelä-Korean yritysoston haltuunotosta ja integraatiosta toimien Etelä-Koreassa. Viimeksi Mattila on toiminut Robit Oyj:n Suomen tuotantoyhtiön toimitusjohtajana ja Group Executive VP:nä. Mattilalla on lisäksi yli 10 vuoden kokemus kansainvälisen myynnin johtamisesta yhtiössä.

Tällä sisäisellä tehtävien kierrolla yhtiö tavoittelee entistä vahvempaa globaalia kasvua.

Hallituksen puheenjohtaja Harri Sjöholm haluaa kiittää Rautiaista yhtiön erinomaisesta johtamisesta ja poikkeuksellisen menestyksekkäästä kasvusta. Rautiaisen aikana yhtiö on kasvanut liikevaihdoltaan seitsenkertaiseksi ja kasvanut paikallisesta toimijasta kansainväliseksi. Sjöholm toivottaa uudelle toimitusjohtajalle, Mattilalle menestystä tulevissa tehtävissä.

ROBIT PLC CHANGES ITS CEO

Robit Plc’s present CEO Jussi Rautiainen has made a long 11 years’ successful growth period in the company. He will take a step to new tasks and will focus on planning and execution of Robit Plc’s future structural growth.

Rautiainen states that after a long period of a strong growth, he wanted to take an initiative to the job rotation. As a listed company Robit Plc can now direct itself to a significant growth also structurally.

As a new CEO will start Mikko Mattila (38), M.Sc. (Eng.) from 2nd January 2016. Mr. Mattila is presently working in the organization and has made a long, 15 years’ career in Robit Plc. He has been i.a. responsible for the take-over and integration of the South Korean acquisition acting in South Korea. Lately, Mr. Mattila has served the company as a CEO for the Finnish manufacturing company and as a Group Executive VP. Mr. Mattila has also over 10 years’ experience in international sales management of the company.

With this rotation Robit Plc aims to even stronger global growth.

Chairman Harri Sjöholm thanks Rautiainen for the excellent managing of the company and for the exceptional successful growth. During Rautiainen’s period company’s net sales has grown to seven fold and expanded from a local actor to an international one. Sjöholm wishes also best possible success to the new CEO Mattila in his future tasks.

Robit Plc will open a sales company in Bangkok, Thailand on 1^st January 2016.

The new sales company is part of Robit Plc’s globalization strategy. The new company strengthens further its sales and customer service in Southeast Asia. This way Robit Plc will reach the present and new customers even better. The company will be serving the customers excellently also in the future.

The market position of Robit Plc in Asia was strengthened when the South Korean acquisition was made. The subsidiary of Thailand will further reinforce the company’s presence in Asia.

ROBIT PLC BUYS OWN SHARES FOR BOARD OF DIRECTORS’ YEARLY COMPENSATION PAYMENT

At its meeting on 10^th November 2015, the Board of Directors of Robit Plc decided to buy its own shares. A maximum of 8 000 shares will be acquired equaling approximately 0,05 percent of the total amount of the company’s shares. The decision is based on the authorization given to the Board by the Annual General Meeting on 24^th April 2015 to acquire a maximum of 99 450 shares. The acquisition of own shares will start on 1^st December 2015 and will end on 15^th December 2015 at the latest.

The shares will be used to Board of Directors’ yearly compensation payment.

The shares will be acquired by using company’s unrestricted equity at the prevailing market price on the NASDAQ OMX Helsinki Ltd in public trading in accordance with the NASDAQ OMX Helsinki Ltd and Euroclear’s regulations and guidelines for acquisition of own shares.

ROBIT OYJ HANKKII OMIA OSAKKEITAAN HALLITUSPALKKIOIDEN MAKSAMISEEN

Robit Oyj:n hallitus on kokouksessaan 10.11.2015 päättänyt aloittaa yhtiön omien osakkeiden hankinnan. Osakkeita hankitaan enintään 8 000 kappaletta, mikä vastaa noin 0,05 prosenttia yhtiön osakemäärästä. Päätös perustuu Robit Oyj:n yhtiökokouksen 27.4.2015 myöntämään valtuutukseen hankkia enintään 99 450 osaketta. Osakkeiden hankinta aloitetaan 1.12.2015 ja se päättyy viimeistään 15.12.2015.

Osakkeet hankitaan käytettäviksi hallituspalkkioiden maksamiseen.

Omat osakkeet hankitaan yhtiön vapaalla omalla pääomalla osakkeiden hankintahetken markkinahintaan Nasdaq OMX Helsinki Oy:n järjestämässä julkisessa kaupankäynnissä noudattaen Nasdaq OMX Helsinki Oy:n ja Euroclear Oy:n sääntöjä ja ohjeita omien osakkeiden hankkimisesta.

ROBIT PLC CONTINUES ITS GROWTH

Robit Plc continued its growth during 1-9/2015 in accordance with the company’s long-term objective despite the uncertain financial situation in global market. The company’s net sales in the review period 1-9/2015 totalled EUR 32.691.216 (EUR 28.419.429 comparative period 1-9/2014) which means 15,0 % growth from the comparative period 1-9/2014.

The Board of Directors of Robit Plc has decided to establish Nomination Committee and Remuneration Committee in its meeting on 20th October 2015. Both the Nomination Committee and Remuneration Committee consist of two board members Harri Sjöholm (COB) and Tapio Hintikka and one non-board member Kai Öistämö.

The Board of Directors has also decided to appoint Kai Öistämö (b. 1964) Board Advisor. Öistämö has among others been a member of Nokia Group Executive Board during 2005-2014. He has also led Nokia’s business development and served the company in an advisory role. Öistämö is a member of the Board of Sanoma, Digia and InterDigital and he is also Chairman of the Board of Tekes, Oikian Solution, Fastems, Helvar and University of Tampere.

ROBIT OYJ JATKAA KASVUAAN

Robit Oyj:n kasvu jatkui yhtiön pitkän aikavälin tavoitteen tasolla tarkastelukaudella 1-9/2015 huolimatta globaaleilla markkinoilla vallitsevasta epävarmasta taloudellisesta tilanteesta. Tarkastelukaudella 1-9/2015 yhtiön liikevaihto oli 32.691.216 euroa (28.419.429 euroa 1-9/2014), jolloin kasvua vertailukauteen 1-9/2014 oli 15,0 prosenttia.

Robit Oyj:n hallitus on 20.10.2015 pitämässään kokouksessaan päättänyt perustaa yhtiöön nimitysvaliokunnan ja palkitsemisvaliokunnan, joiden kummankin jäseninä ovat hallituksesta Harri Sjöholm (pj) ja Tapio Hintikka sekä hallituksen ulkopuolelta Kai Öistämö.

ROBIT PLC SELECTED FOR NEW NASDAQ FIRST NORTH 25 INDEX

Robit Plc has been selected for the new First North 25, an index set up by NASDAQ for the 25 largest companies in the Nordic countries on the NASDAQ First North market place, measured by market capitalisation and share trading activity. Three other Finnish companies have been included in the index with Robit Plc.

The objective of the new index is to make NASDAQ First North an even better market place for growth companies and arouse greater interest in it especially among international investors. It also aims to increase awareness of First North companies and the entire First North market.

“The First North 25 companies from Finland are an impressive demonstration that the country has good-sized, rapidly growing companies. I believe that these four companies will attract great attention and visibility from being on this Nordic index,” says Lauri Rosendahl, President, NASDAQ OMX Helsinki Ltd.

First North 25 companies are selected through a two-step process. The first is to select the 30 largest companies by market capitalisation. The 25 companies in this pool with the highest share activity, measured by the aggregate share trading volume over a six month period, are selected for the index. NASDAQ will review the First North 25 portfolio at six month intervals, and the new portfolios will become effective on the first trading days in January and July.

NASDAQ is also launching four new country First North indexes that include the shares of all the companies traded on each First North market place, including Robit Plc.

ROBIT OYJ ON VALITTU MUKAAN UUTEEN NASDAQ FIRST NORTH 25 -INDEKSIIN

Robit Oyj on valittu mukaan Nasdaqin perustamaan uuteen First North 25 -indeksiin, johon valikoituivat Nasdaq First North -markkinapaikan markkina-arvoltaan 25 suurinta ja eniten vaihdetuinta osaketta Pohjoismaissa. Suomesta mukana indeksissä on Robit Oyj:n lisäksi kolme yhtiötä.

Uuden indeksin tarkoituksena on kehittää Nasdaq First North -markkinapaikkaa vielä paremmaksi kasvuyrityksille ja lisätä etenkin kansainvälisten sijoittajien kiinnostusta sitä kohtaan sekä lisätä tietoisuutta First North -yhtiöistä ja koko First North -markkinasta.

“First North 25 -yhtiöt Suomesta ovat hieno osoitus siitä, että meiltä löytyy kunnollisen kokoisia ja nopeasti kasvavia yhtiöitä. Uskon, että nämä neljä yhtiötä saavat paljon huomiota ja näkyvyyttä osana pohjoismaista indeksiä”, kertoo pörssin toimitusjohtaja Lauri Rosendahl.

First North 25 -yhtiöt valitaan kaksivaiheisen prosessin kautta. Ensin valitaan 30 markkina-arvoltaan suurinta yhtiötä. Näistä indeksiin valitaan 25 vaihdetuimman yhtiön osakkeet niiden kuuden kuukauden kokonaisvaihdon mukaan laskettuna. Nasdaq suorittaa indeksin tarkistuslaskennan puolivuosittain. Muutokset astuvat voimaan aina tammikuun ja heinäkuun ensimmäisenä kaupankäyntipäivänä.

Nasdaq on lisäksi aloittanut neljän uuden maakohtaisen First North -indeksin julkaisemisen, joissa ovat mukana kaikkien niiden yhtiöiden osakkeet, jotka ovat kaupankäynnin kohteena kullakin First North -markkinapaikalla mukaan lukien Robit Oyj.
